Heurin Terms of Service

1. Agreement to Terms

By creating an account or using Heurin ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms are a legal agreement between you and Heurin ("Company," "we," "us," or "our"). Together with our Privacy Policy, they govern your use of the Service.

We may update these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance.

2. Description of Service

Heurin is a personal relationship management tool that helps you organize and maintain information about your contacts, meetings, and professional relationships. The Service includes AI-powered features that can search, create, modify, and delete data on your behalf — including in connected external services such as Google Calendar.

The Service is currently in beta. See Section 4 for beta-specific terms.

Heurin is not a legal, financial, medical, or professional advisory service. Nothing in the Service should be relied upon as professional advice.

3. Eligibility

The Service is available to users who are at least 18 years old and located in the United States. By using the Service, you represent that you meet these requirements.

4. Beta Service Terms

The Service is currently in beta. During the beta period:

Features may change, contain bugs, or be removed without notice
The Service may experience downtime, errors, or instability
We make no commitments regarding uptime, availability, or performance
Data loss may occur — you are responsible for maintaining independent records of important information
We may reset, migrate, or modify data structures as the product evolves
Pricing may be introduced or changed at any time

We may end the beta program at any time. If we do, we will make commercially reasonable efforts to provide notice and an opportunity to export your data.

5. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating your account and to notify us promptly of any unauthorized use.

We support authentication through Google Sign-in and Apple Sign-in. Your use of these services is subject to their respective terms.

6. Your Data

Ownership

You retain ownership of all data you submit to the Service, including contacts, notes, recordings, photos, and documents ("Your Content"). We do not claim ownership of Your Content.

License to Operate

You grant Heurin a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing and improving the Service. This license ends when you delete Your Content or your account.

Anonymized and Aggregated Data

We may create anonymized or aggregated data from your use of the Service — meaning data that cannot reasonably be used to identify you or any individual. We may use anonymized and aggregated data for any business purpose, including analytics, product improvement, research, and marketing (e.g., "Heurin users manage over 10,000 relationships"). Anonymized data is not subject to the restrictions on Your Content above.

Third-Party Personal Data

When you add contacts, import data from your device, or enter information about other people, you are uploading third-party personal data. You represent and warrant that:

You have the right to store and process this information
Your use of this data complies with applicable laws
You will not upload data you obtained through unauthorized means (e.g., scraping, unauthorized access)

You are solely responsible for your compliance with privacy laws regarding your contacts' data. For data you submit, Heurin processes it on your behalf as a service provider.

Data Enrichment

Heurin may supplement your contacts with information from third-party data sources to provide features such as contact details, company information, and professional context. This enriched data is provided for convenience and may be inaccurate or outdated. We do not guarantee the accuracy, completeness, or currency of enriched data. You are responsible for verifying enriched information before relying on it.

For enriched data that Heurin obtains from external sources (rather than from you), Heurin acts as the data controller for that information.

Uploaded Content

You are solely responsible for all content you upload to the Service, including photos, documents, and attachments. Photos and images you upload may be transmitted to third-party AI service providers for analysis, including extracting text, identifying context, and generating descriptions. You agree not to upload:

Illegal content, including child sexual abuse material (CSAM)
Content that infringes on the intellectual property rights of others
Content that violates any person's right to privacy or publicity
Malware, viruses, or other harmful code

Heurin reserves the right to remove any content that violates these Terms and to report illegal content to appropriate authorities. We may use automated tools to detect prohibited content. Heurin does not pre-screen uploaded content and is not responsible for content submitted by users.

Voice Recordings and Transcription

If you use voice recording features, you acknowledge that:

Voice recordings are transmitted to third-party AI service providers for transcription
Recordings and transcriptions are stored on our servers and are not end-to-end encrypted
Recordings may be disclosed in response to valid legal process

You are solely responsible for:

Obtaining any required consent from all participants before recording (many US states require all-party consent)
Compliance with all applicable recording and wiretapping laws
Ensuring you do not record privileged or legally protected communications (e.g., attorney-client, medical) unless you understand and accept the implications

Transcriptions are generated automatically and may contain errors. We are not responsible for transcription inaccuracy. Do not use the voice recording feature to record others without their knowledge in jurisdictions that require consent.

Prohibited Data

You agree not to store Social Security numbers, financial account numbers, health records subject to HIPAA, or other legally regulated sensitive data categories in the Service.

Security and Data Access

We implement industry-standard security measures to protect your data, including encryption in transit (TLS/HTTPS) and encryption at rest through our infrastructure providers. However, the Service is not end-to-end encrypted — Heurin can access your data as necessary to provide the Service, including for AI processing and customer support.

Your data may be disclosed in response to valid legal process, including subpoenas, court orders, or government requests. We will make commercially reasonable efforts to notify you before disclosing your data unless prohibited by law.

Data Export and Deletion

You may request export or deletion of your data at any time by contacting [email protected]. We will process requests within 30 days. See our Privacy Policy for details.

7. AI Features

What AI Can Do

Heurin's AI assistant can take actions on your behalf, including:

Searching, creating, modifying, and deleting contacts, companies, and meetings
Reading and creating events in connected services (e.g., Google Calendar)
Analyzing photos and images you upload (transmitted to third-party AI providers)
Generating summaries, suggestions, and other content based on your data

You are responsible for reviewing and verifying all actions the AI takes. AI actions are treated the same as if you performed them manually. If the AI creates, modifies, or deletes data — including in connected external services — you accept responsibility for those changes.

Accuracy Disclaimer

AI-generated content and actions may be inaccurate, incomplete, or misleading. The AI may misinterpret your instructions, take unintended actions, or produce incorrect information. You are solely responsible for verifying AI outputs before relying on them. AI features do not constitute professional advice of any kind.

AI Data Processing

To provide AI features, your data (including contact information, notes, and queries) may be transmitted to third-party AI service providers for processing. We select providers that maintain commercially reasonable data handling practices. Our third-party AI providers do not use your data to train their models. However, Heurin may use your data to train, fine-tune, and improve its own AI features and models. See our Privacy Policy for details.

Changes to AI Features

We may change AI models, providers, or capabilities at any time without notice. AI feature availability may vary and is not guaranteed.

AI Acceptable Use

You agree not to:

Use AI features to generate spam, harassment, or illegal content
Attempt to extract, reverse-engineer, or manipulate the underlying AI models
Use AI outputs to make automated decisions that affect third parties' legal rights

8. Third-Party Integrations

Google Calendar

If you connect Google Calendar, we access and modify your calendar data (events, times, attendees, descriptions) to provide features including meeting context, calendar sync, and AI-assisted scheduling. The AI assistant may create, update, or read calendar events on your behalf when you instruct it to do so.

Our use of Google Calendar data complies with the Google API Services User Data Policy, including the Limited Use requirements:

We only use your Google Calendar data to provide and improve user-facing features of Heurin
We do not use your Google Calendar data for advertising
We do not transfer your Google Calendar data to third parties except as necessary to provide user-facing features, comply with applicable laws, or with your explicit consent

Calendar data may be processed by our AI service providers solely to deliver features you use (e.g., meeting context in conversations, event creation).

Other Third-Party Services

The Service integrates with third-party services for authentication, storage, and data processing. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their respective terms.

API and Programmatic Access

Heurin may offer API or programmatic access (including MCP interfaces) to the Service. If you use programmatic access:

All actions performed via the API are subject to these Terms as if performed through the standard interface
You are responsible for the security of your API credentials
You are responsible for all actions taken through your API credentials, including actions by third-party applications you authorize
We may impose rate limits or usage restrictions
API access may be modified, suspended, or discontinued at any time

9. Acceptable Use

You agree not to:

Violate any applicable laws or regulations
Infringe on the rights of others
Upload content you do not have the right to share
Attempt to gain unauthorized access to the Service or its systems
Reverse-engineer, decompile, or disassemble the Service
Use the Service to send unsolicited communications
Interfere with or disrupt the Service
Use automated tools to access the Service (except through our APIs, if offered)

We may suspend or terminate accounts that violate these terms.

10. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Heurin and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.

Any feedback, suggestions, or ideas you provide about the Service may be used by Heurin without restriction or obligation to you.

11. Payment

The Service is currently offered free of charge during the beta period. We reserve the right to introduce paid plans in the future. If we do, we will provide advance notice and you will have the option to export your data and close your account if you choose not to continue.

12. Termination

You may stop using the Service and delete your account at any time.

We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. If we terminate your account without cause, we will make commercially reasonable efforts to provide notice and an opportunity to export your data.

Upon termination, your right to use the Service ends. We will delete your data in accordance with our Privacy Policy.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HEURIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK.

HEURIN DOES NOT VERIFY THE ACCURACY OF DATA YOU OR OTHER USERS SUBMIT, NOR OF AI-GENERATED OR IMPORTED CONTENT.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM HEURIN SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEURIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, EVEN IF HEURIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HEURIN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO HEURIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THESE LIMITATIONS APPLY TO ALL CLAIMS, INCLUDING BUT NOT LIMITED TO CLAIMS RELATED TO DATA LOSS, SERVICE INTERRUPTIONS, AI-GENERATED CONTENT, OR UNAUTHORIZED ACCESS TO YOUR DATA.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Heurin, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any law or third-party rights
Any third-party personal data you submit to the Service
Content you upload to the Service, including photos and documents
Your use of voice recording features without proper consent
Actions taken by the AI assistant at your direction
Use of the Service through API or programmatic access using your credentials

16. Dispute Resolution

Informal Resolution First

Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If we cannot resolve a dispute informally, you and Heurin agree to resolve it through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Delaware (or remotely, at your option).

Heurin will pay all AAA filing fees and arbitrator costs for claims under $10,000. For claims over $10,000, costs will be allocated as determined by the AAA.

Class Action Waiver

YOU AND HEURIN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of multiple parties.

Small Claims Exception

Either party may bring qualifying claims in small claims court as an alternative to arbitration.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.

17. General Provisions

Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Force Majeure. Heurin is not liable for failures or delays caused by events beyond our reasonable control, including natural disasters, third-party service outages, cyberattacks, or government actions.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Heurin regarding the Service.

Assignment. You may not assign these Terms. Heurin may assign these Terms in connection with a merger, acquisition, or sale of assets.

No Waiver. Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

18. Apple App Store

If you access the Service through an application downloaded from the Apple App Store, you acknowledge and agree that:

These Terms are between you and Heurin only, not with Apple Inc. ("Apple")
Apple has no obligation to provide maintenance or support for the Service
Apple is not responsible for any product warranties, claims, losses, or liabilities
Apple is not responsible for addressing any claims relating to the Service, including product liability, legal compliance, or intellectual property infringement
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you

19. DMCA

If you believe content on the Service infringes your copyright, notify us at [email protected] with: (a) identification of the copyrighted work, (b) identification of the infringing content, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
